Welcome to lambdatrixum. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and lambdatrixum S.A. ("lambdatrixum", "we", "us", or "our") regarding your use of our restaurant customer loyalty analytics services and website located at lambdatrixum.top.

By accessing our website, engaging our services, or entering into a service agreement with lambdatrixum, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services or website.

lambdatrixum provides restaurant customer loyalty analytics dashboards and related data analysis services. Our services include but are not limited to:

  • Loyalty programme performance analysis
  • Real-time dashboard access and monitoring
  • Data integration with restaurant management systems
  • Predictive analytics and customer insights
  • Technical support and consultation services

User Obligations

As a client of lambdatrixum services, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Maintain the confidentiality of your account credentials and access information
  • Use our services only for lawful business purposes in compliance with applicable laws
  • Ensure you have appropriate rights and permissions for any data you provide to us
  • Comply with data protection regulations applicable to your business operations
  • Pay all fees and charges associated with your service agreement in a timely manner
  • Notify us promptly of any unauthorised use of your account or security breaches
  • Cooperate with reasonable requests for information necessary to provide our services

Payment Terms

Service fees are as specified in your individual service agreement with lambdatrixum. Payment terms include:

  • Fees are payable in advance on a monthly or annual basis as agreed
  • All prices are quoted in Euros (EUR) and exclude applicable taxes unless stated otherwise
  • Late payment may result in service suspension and additional charges
  • Fee adjustments may occur with 30 days' written notice

Data Ownership and Usage

You retain ownership of all data provided to lambdatrixum. However, you grant us necessary rights to process, analyse, and store your data for service delivery purposes. We may create anonymised, aggregated insights from client data for service improvement, provided such use does not identify individual clients or their customers.

Intellectual Property

All intellectual property rights in the lambdatrixum platform, software, analytics algorithms, and related materials remain the exclusive property of lambdatrixum. You are granted a limited, non-exclusive, non-transferable licence to use our services during the term of your agreement. You may not:

  • Copy, modify, or create derivative works of our software or platform
  • Reverse engineer, decompile, or attempt to extract source code
  • Sublicense, resell, or distribute our services to third parties
  • Remove or alter any proprietary notices or labels
  • Use our services to develop competing products or services

Service Availability and Performance

We strive to maintain high service availability but cannot guarantee uninterrupted access. Scheduled maintenance, updates, and unforeseen technical issues may temporarily affect service availability. We will provide reasonable notice of planned maintenance when possible.

Confidentiality

Both parties acknowledge that they may have access to confidential information. We agree to maintain the confidentiality of your business data and customer information. You agree to keep confidential any proprietary information about our services, algorithms, or business operations.

Limitation of Liability

To the maximum extent permitted by applicable law, lambdatrixum's total liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you for our services in the twelve (12) months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, regardless of whether we have been advised of the possibility of such damages.

This limitation applies regardless of the legal theory upon which the claim is based, including contract, tort, negligence, strict liability, or any other basis.

Indemnification

You agree to indemnify, defend, and hold harmless lambdatrixum from and against any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from or relating to your use of our services, violation of these Terms, or infringement of any third-party rights.

Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring compliance with applicable data protection laws regarding any customer data you provide to us.

Termination

Either party may terminate the service agreement with thirty (30) days' written notice. We may terminate immediately if you breach these Terms or fail to pay fees when due. Upon termination:

  • Your access to our services will cease
  • You remain liable for all fees incurred up to the termination date
  • We will provide reasonable assistance for data export, subject to additional fees if extensive
  • Confidentiality obligations survive termination

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Governing Law

These Terms are governed by and construed in accordance with the laws of Portugal. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the Portuguese courts, specifically the courts of Lisbon.

Dispute Resolution

Before initiating formal legal proceedings, the parties agree to attempt resolution through good faith negotiations. If direct negotiation fails, disputes may be resolved through mediation or arbitration as mutually agreed.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.

Entire Agreement

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and lambdatrixum regarding our services. These Terms supersede all prior agreements, understandings, and communications, whether written or oral.

Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated to clients with at least thirty (30) days' notice. Continued use of our services after the effective date of changes constitutes acceptance of the modified Terms.
